Terms and Conditions

1. Definitions

1.1. “Documentation” means any user documentation, on any media, provided by JDMIndicators in association with the Products.
1.2. “JDMIndicators” means GoTrade, LLC.
1.3. “Machine ID” means the unique identifier provided by the End User to JDMIndicators, which enables the Products to operate on the specified Licensed Configuration.
1.4. “Licensed Configuration” means a single computer or device located at the Licensed Location.
1.5. “Licensed Location” means the address where the Products will be installed.
1.6. “Products” means any software, indicators, trading tools, or other offerings provided by JDMIndicators to the End User, including any associated media, electronic documentation, updates, and any related components ordered by the End User.
1.7. “Software” means the computer software (including online and electronic documentation), any associated media, and anything in any form intended to be used with the software, including updates, patches, enhancements, and modifications provided by JDMIndicators.

1.8.  “End User” or “You” means the individual accessing or using the Application or the company, or other legal entity on behalf of which such individual is accessing or using the Application, as applicable

2. License Grant

2.1. Software License. Subject to the terms of this Agreement, JDMIndicators grants the End User a personal, non-exclusive, non-transferable, non-sublicensable license to use the Software in accordance with the Documentation and within the Licensed Configuration.

2.2. Machine ID. The End User will have the software assigned a license, linked to a NinjaTrader® Machine ID to activate the Software. If a Machine ID change is needed (e.g., due to a computer upgrade), JDMIndicators may, at its discretion, issue a new license key, which will disable the previous Machine ID. Proof of identity (such as original Machine ID, name, and email used for purchase) is required.

2.3. Documentation License. JDMIndicators grants the End User a non-exclusive, non-transferable license to use the Documentation solely for personal or internal business purposes in connection with the Products.

3. Use of the Products and other information

3.1 Yearly and Lifetime Updates. You will receive an annual or lifetime license for updates for the indicator you purchase. Annual licenses receive updates for 1 year and the license expires 1 year from the date of purchase or renewal and the indicator will no longer function without renewal.  The lifetime license may be used indefinitely. For a lifetime license, you will also receive lifetime updates.

3.2 Moving indicators to new/other PC’s. You are able to move your ZoneVue Pro license to different PC’s. Just open a support email to us and we will take care of this for you. The indicator and/or strategy are licensed for use by one person, even with multiple licenses. The additional machine ID’s are intended for additional computers owned or used by the same person who purchased the indicator and/or strategy. Machine ID’s are not permitted to be shared with any other individual.

3.2 Trading setups, education and other content: As a bonus, we may offer to our members free ongoing education, live trading and setups in our Discord server. At any time, we may choose to cease to offer this service or may offer as needed or when appropriate. There is no guarantee or promise to deliver these services. If provided, they will available in our Discord server, YouTube channel, Telegram, etc for members who have an active license. All content provided is copyrighted by GoTrade, LLC and you are not allowed to share this information with others who are not members or outside of the Discord channel or other mediums. We reserve the right to deny this service to anyone who we feel is taking advantage of this valuable service, including sharing, rebroadcasting, or for any other reason. Access to certain content and services nay require an additional cost.

3.3. Personal Use. The Products are provided for the End User’s personal or internal business use only. They may not be sublicensed, resold, rented, transferred, or distributed. The End User may not allow others to access or use the Products.

3.4. Ownership and Rights. JDMIndicators and its licensors retain all intellectual property rights in the Products, including copyrights, trademarks, patents, trade secrets, and all associated branding and proprietary content. No rights are granted to the End User beyond those expressly stated in this Agreement.

3.5. Restrictions. The End User agrees:

• Not to reverse-engineer, disassemble, decompile, or attempt to derive the Software’s source code.

• Not to remove any copyright or proprietary notices from the Products.

• Not to share, reproduce, or distribute any educational content, live trading sessions, or setups provided through Discord, YouTube, Telegram, or other channels.

• Not to develop derivative works based on the Software.

4. Maintenance and Support

4.1. We strive to provide amazing support and will do our best to answer any questions you might have about these products. 

5. Updates and Product Changes

5.1. JDMIndicators may provide updates, bug fixes, or enhancements at its discretion. Annual license holders receive updates for one year from purchase or renewal, and lifetime license holders receive updates indefinitely. Monthly license holders receive updates during the active subscription period.

5.2. JDMIndicators reserves the right to discontinue selling of any software, services, or features at any time without prior notice. 

6. Risk Disclosure

6.1. Trading Risk. Futures and forex trading involves substantial risk. The End User understands that they may lose more than their initial investment. Only risk capital should be used for trading, and past performance is not indicative of future results.

6.2. Hypothetical Performance Disclaimer. Hypothetical performance results have inherent limitations, including the absence of actual market risk. The End User acknowledges that simulated performance results do not guarantee similar real-world results.

6.3  Limited Warranty, Warranty Disclaimers and Limitation of liability
The products are provided “as is” and without warranty of any kind, express or implied. Use of products is at the user’s sole risk. JDMIndicators does not warrant that the products will be uninterrupted or error-free, nor does JDMIndicators make any warranty as to any results that may be obtained by use of the products. The user realizes that there is risk in trading stocks, futures, or options and that assets may be lost and are not insured. JDMIndicators is absolutely not responsible, directly or indirectly, for users’ stock, future, or option order, purchase, and sale actions. JDMIndicators makes no other warranties, express or implied, including, without limitation, any implied warranties of merchantability or fitness for a particular purpose, in relation to the products.

Under no circumstances shall JDMIndicators, directly or indirectly, be liable to the user or any other person, entity, partnership, organization, or association for any direct, indirect, incidental, consequential, special, or punitive damages for any matter arising from or relating to this agreement, the products, or the internet in general, including, without limitation, the user’s use or inability to use the products, any changes to or inaccessibility of the products, delay, failure, unauthorized access to or alteration of any transmission or data, any material or data sent or received or not sent or received, any transaction or agreement entered into through the products, any data loss, or any data or material from a third party accessed on or through the products, whether such liability is asserted on the basis of contract, tort, or otherwise. In no event shall JDMIndicators’ total liability for any damages exceed the total fees paid by the user to JDMIndicators hereunder. Some states prohibit the exclusion or limitation of incidental or consequential damages, thus this limitation of liability may not apply to the user. If the user is dissatisfied with the products, the user’s sole and exclusive remedy shall be to discontinue use of the products and terminate this agreement in accordance with section 6.

JDMIndicators is not liable for any items viewed or transmitted via the products. JDMIndicators is not liable, directly or indirectly, for any acts taking place which are not viewed or transmitted via the products. JDMIndicators is not obligated, directly or indirectly, to take any steps to prevent or correct any illegal, abusive, or otherwise inappropriate activity performed by the user, nor is JDMIndicators obligated, directly or indirectly, to archive or otherwise maintain other reproduction of the content that appears or is transmitted on the products for future reference. JDMIndicators is not liable, directly or indirectly, for any action or inaction with respect to any content on the products. JDMIndicators is not responsible, directly or indirectly, for compliance or lack thereof by any broker(s) with respect to any applicable laws and regulations, including but not limited to those laws regarding or pertaining to the trading of securities. JDMIndicators makes significant efforts meeting or exceeding industry standards to ensure the security and/or functionality of products related to internet transmissions, but due to the inherent nature of the internet, cannot guarantee or warrant functionality and/or security of internet transmissions.

Futures and forex trading contains substantial risk and is not for every investor. An investor could potentially lose all or more than the initial investment. Risk capital is money that can be lost without jeopardizing ones’ financial security or life style. Only risk capital should be used for trading and only those with sufficient risk capital should consider trading. Past performance is not necessarily indicative of future results.

Hypothetical Performance Disclosure:
Hypothetical performance results have many inherent limitations, some of which are described below. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown; in fact, there are frequently sharp differences between hypothetical performance results and the actual results subsequently achieved by any particular trading program. One of the limitations of hypothetical performance results is that they are generally prepared with the benefit of hindsight. In addition, hypothetical trading does not involve financial risk, and no hypothetical trading record can completely account for the impact of financial risk of actual trading. for example, the ability to withstand losses or to adhere to a particular trading program in spite of trading losses are material points which can also adversely affect actual trading results. There are numerous other factors related to the markets in general or to the implementation of any specific trading program which cannot be fully accounted for in the preparation of hypothetical performance results and all which can adversely affect trading results.

7. Exclusions

The foregoing warranties and remedies shall be void as to any products damaged or rendered unserviceable by:

1. Improper or inadequate maintenance by anyone other than JDMIndicators or JDMIndicators’ authorized agents.

2. Software or interfacing supplied by anyone other than JDMIndicators.

3. Modifications, alterations, or additions to the products by personnel not certified by JDMIndicators or JDMIndicators’ authorized agents to perform such acts.

8. Refund Policy

8.1. No Refunds. JDMIndicators does not offer refunds, unless specifically stated in the order.

8.2. Subscription Cancellation. End Users may cancel recurring subscriptions through PayPal (or other supported payment methods). No refunds are provided for partially used subscriptions.

8.3 Free Trials. Free trials require a debit or credit card on file to be charged when the free trial ends. At any time during the free trial period, you may cancel your trial and you will not be charged. At the time you cancel your trial, your access to the product will end immediately and your license will be disabled. Any messaging on our website that may conflict with these terms is superseded by this clause. If you do not cancel before you are charged, you will be charged the full price of the purchase you agreed to and no refunds will be allowed. You agree that any payment you make is final and you hold JDMIndicators harmless for any charges that are withdrawn from your account that may or may not result in your bank account going negative including any fees or negative financial effects due to the charging of your account at the end of the trial. You are responsible for remembering to cancel your trial prior to being charged.

9. Educational Content and Bonuses

9.1. JDMIndicators may provide ongoing education, live trading, and setups in its Discord server as a bonus to annual and lifetime members. This content is not guaranteed and may be modified or discontinued at any time.

9.2. Access to educational content, including webinars and video archives, may require additional payment unless included in an annual or lifetime license.

10. Affiliates

10.1. JDMIndicators offers affiliate commissions on ZoneVue Pro indicators and ZoneVue Strategy purchases. Affiliates receive payouts within 30 days of a successful purchase, provided the minimum payout threshold of $250 is met.

10.2. If a referred customer disputes or receives a refund within six months of purchase, future commissions will be adjusted accordingly. Monthly subscriptions do not qualify for affiliate commissions.

11. Warranty Disclaimer and Limitation of Liability

11.1. No Warranty. The Products are provided “AS IS” without warranties of any kind. JDMIndicators makes no guarantees regarding uninterrupted or error-free operation. The End User assumes full responsibility for their use of the Products.

11.2. Limitation of Liability. Under no circumstances shall JDMIndicators be liable for direct, indirect, incidental, consequential, or special damages, including loss of data or profits. 

11.3. Excluded Damages. JDMIndicators is not responsible for:

• Software failures caused by improper use, third-party modifications, or environmental factors.

• Loss of trading capital or financial losses related to the End User’s use of the Products.

• Compliance issues with any broker, exchange, or regulatory body.

12. Termination

12.1. JDMIndicators may terminate this Agreement at any time if the End User breaches any provision. Upon termination, the End User must cease using the Products and destroy all related materials.

13. Governing Law

13.1. This Agreement shall be governed by the laws of the state of Arizona, without regard to its conflict of laws principles.
